Terms of Service

The rules for using WhatsApp Commerce to sell, message customers and automate support on WhatsApp.

1. Agreement

These Terms of Service ("Terms") govern your use of WhatsApp Commerce, a platform at whatsappcommerce.in that lets businesses ("you", "Business Customers") sell, message customers and automate support over the WhatsApp Business Platform. By creating an account or using the service you agree to these Terms and to our Privacy Policy. If you use the service for a company, you confirm you can bind that company.

2. The service

WhatsApp Commerce provides a shared inbox, contact management, message templates, broadcasts, automations, catalog and order tools, invoices, and a developer API. We connect to WhatsApp through Meta's official WhatsApp Business Platform; we do not use unofficial WhatsApp automation. Features may change, and features marked "coming soon" are not yet available.

3. Accounts and security

You must give accurate information, keep your login and API keys confidential, and are responsible for everything done through your workspace, including by team members you invite. Tell us promptly at the address below if you suspect unauthorized access. API keys must be kept on servers you control and never placed in public web or app code.

4. WhatsApp and Meta terms

You must follow the WhatsApp Business Terms of Service, the WhatsApp Business Messaging and Commerce Policies, and all other Meta terms that apply to your use. Meta may restrict or suspend a WhatsApp number or account at its discretion; we are not responsible for Meta's decisions. Message charges are set by Meta and billed as described in section 7.

5. Acceptable use and consent

You may message only people who have opted in to hear from you on WhatsApp, and you must record how and when consent was given. Honour opt-outs immediately; our platform handles the keywords STOP and START, and you must not override them. You must not send spam, unsolicited bulk messages, or messages that are unlawful, misleading, harassing, or that promote prohibited goods or services (including those Meta's Commerce Policy prohibits). You must not attempt to disrupt the service, probe it for vulnerabilities without permission, resell it without our written agreement, or use it to build a competing product from our non-public materials.

We may limit, pause or suspend sending, a workspace, or an API key that risks your WhatsApp quality rating, other customers, or the platform.

6. Your data and customer data

You own the content, contacts, catalog, orders and conversations you put into the service ("Customer Data"). You give us the right to host, process and transmit it as needed to run the service for you. For personal data of your own customers, you are the controller and we act as your processor, as described in the Privacy Policy. You are responsible for having a lawful basis, notices and consents for that data, including under India's Digital Personal Data Protection Act, 2023. You can export or delete your records from your workspace, and request deletion at our data deletion page.

7. Plans, fees and message charges

Some features are free and some are paid. Current plans and prices are shown on our website or in your quote and may change with reasonable notice. Fees for paid plans are billed in advance for the period selected and are non-refundable except where these Terms or the law require, or where we offer a money-back period in writing. WhatsApp message charges (conversation or per-message fees) are set by Meta and, unless we state otherwise, are billed to your own Meta payment method. Taxes, including GST, are added where applicable.

8. Third-party services

The service works with third-party services such as Meta (WhatsApp, Facebook, Instagram), payment gateways, shipping and accounting providers, and AI providers. Their availability and terms are outside our control, and your use of them is subject to their terms. When you connect a third-party account, you authorize us to access it as needed for the feature you turned on.

9. Intellectual property

We and our licensors own the service, software, documentation and brand. We give you a limited, non-exclusive, non-transferable right to use the service during your subscription. You give us permission to use your business name and logo to show that you use the service only if you agree in writing.

10. Availability and support

We work to keep the service running and to back up data, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance and outages of Meta or other providers can affect delivery. Support is provided by email and WhatsApp during business hours.

11. Suspension and termination

You may stop using the service and close your workspace at any time. We may suspend or end access if you breach these Terms, do not pay, or if required by law or by Meta. On termination we will keep or delete Customer Data as described in the Privacy Policy, and you may export your data before closing your workspace.

12. Disclaimers and limits of liability

The service is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties, and we are not liable for indirect, incidental or consequential loss, loss of profits or data, or for actions of Meta or other third parties. Our total liability for any claim relating to the service is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.

13. Governing law

These Terms are governed by the laws of India. Courts at Madurai, Tamil Nadu, India have exclusive jurisdiction, subject to any mandatory rights you have under law.

14. Changes to these Terms

We may update these Terms. If a change is material we will notify you in the product or by email before it takes effect. Continued use after the effective date means you accept the update.
